These Terms of Use ("Terms") govern your access to and use of the Storebridger platform and services being a product of UNFLINCHED LIMITED a tech startup duly registered in Nigeria, with it’s registered address at 13, OYEDARA STREET, OJOKORO NEW TOWN, AGRIC , IKORODU, LAGOS STATE, NIGERIA with RC No: 1979605.
Storebridger is a business technology dedicated to empowering Small and Medium-sized Enterprises (SMEs) with comprehensive business tools to automate processes and increase their likelihood of success. Our suite of tools includes Sales and Marketing Tools, Financial & Accounting Tools, Inventory Management System, Order Management Tools, and Customer Relationship Management (CRM) Tools.
By accessing or using Storebridger, you agree to comply with these Terms. Please read them carefully
1. Acceptance of Terms
1.1. By accessing or using Storebridger, you agree to be bound by these Terms.
1.2. If you do not agree with these Terms, you may not access or use Storebridger.
2. Registration and Accounts
2.1 To use certain features of Storebridger, you may be required to create an account and provide accurate, complete, and up-to-date information.
2.2 You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
2.3 You agree to immediately notify Storebridger of any unauthorized use of your account or any other breach of security.
3. User Conduct
3.1. You agree to use Storebridger in compliance with all applicable laws and regulations.
3.2. You will not engage in any activity that disrupts, interferes with, or harms Storebridger's services or its users.
3.3. You will not use Storebridger for any fraudulent, malicious, or illegal purposes.
4. Business Owners, Sellers, and Buyers
4.1. Business Owners and Sellers: Storebridger provides tools to streamline marketing, financial management, inventory tracking, order management, and customer engagement. You agree to use these tools responsibly and for legitimate business purposes.
4.2. Buyers: Storebridger enables you, through its ContractPay feature, to engage with businesses and make purchases. You agree to provide accurate information and complete transactions in good faith.
4.3. Business owners using the Storebridger platform shall adhere to the following guidelines:
- Product Safety: Business owners must not list products that pose hazards to consumers on the platform.
- Ethical Conduct: Business owners shall conduct their operations without engaging in obnoxious or unscrupulous practices that could harm buyers or the integrity of the platform.
- Compliance with Regulations: Business owners are required to abide by all safety and health regulations when selling, distributing, and advertising products on Storebridger.
- Quality Assurance: Products listed by business owners on Storebridger must meet all relevant quality and safety standards to ensure customer satisfaction and safety.
By using the Storebridger platform, business owners agree to uphold these principles, fostering a secure and ethical marketplace for all users.
4.4 Business Owners' Obligations to Enable Buyer Rights on Storebridger:
- Transparency and Clarity: Business owners must ensure that all information regarding their products and services is presented in plain and understandable language. This includes providing clear and concise descriptions, pricing details, and any relevant terms or conditions.
- Accurate Pricing: Business owners are responsible for accurately disclosing the prices of their goods and services. The prices displayed on Storebridger should match the final payment or cash-out amounts to avoid any confusion for buyers.
- Detailed Product Information: Business owners must provide comprehensive information on product labels and descriptions. This information should adhere to industry standards and practices, ensuring that buyers have a clear understanding of what they are purchasing.
- Disclosure of Product Condition: When business owners list used, second-hand, or reconditioned goods, they should prominently disclose any alterations or changes to the original condition of the product. This ensures that buyers are fully aware of the product's state.
- Transaction Records: Business owners should maintain accurate transaction records. These records should be readily available and provided to buyers upon request. They should include itemized details of the transaction, including the goods or services sold and any applicable taxes.
- Supplier Choice: If business owners offer similar products from different manufacturers or suppliers on Storebridger, they should respect the buyer's right to choose their preferred supplier. Buyers should not face any pressure or limitations in their selection.
- Cancellation and Refunds: Business owners must honor buyers' rights to cancel advance bookings or orders. They should clearly communicate cancellation policies and charges. If any pricing or promotional restrictions apply to refunds, this information should be provided in writing.
- Product Selection: When products are sold from open stock, business owners should allow buyers the freedom to select or reject specific items before completing the transaction. Buyers should not be compelled to purchase products they have not chosen.
- Responsive Customer Support: Business owners should provide accessible customer support channels to address any inquiries or concerns related to the exercise of buyer rights. Prompt responses and assistance are essential to ensuring a positive buyer experience.
- Compliance with Regulations: Business owners must comply with all relevant consumer protection regulations and laws, including those outlined in the FCCPA. This includes staying up-to-date with any changes in regulations that may affect buyer rights on Storebridger.
By using the Storebridger platform, business owners agree to uphold these principles, fostering a secure and ethical marketplace for all users.
5. Data Privacy
5.1 Storebridger collects and processes personal information as described in its Privacy Policy. By using Storebridger, you consent to such collection and processing.
6. Intellectual Property
6.1 Storebridger's platform and services, including its tools and content, are protected by intellectual property laws. You agree not to copy, reproduce, or distribute any part of Storebridger without explicit permission.
7. Transaction Fees
7.1 For every transaction conducted on the Storebridger platform, a transaction fee of 4% shall apply. This fee will be calculated based on the total transaction amount, inclusive of any taxes or additional charges.
7.2 By engaging in transactions on Storebridger, users agree to this fee, which is intended to support the maintenance and improvement of the platform's services.
7.3 Storebridger reserves the right to adjust transaction fees with prior notice to users. Your continued use of the platform after such changes constitutes acceptance of the updated transaction fees.
8. Dispute Resolution
8.1.
Amicable Resolution
Parties utilizing the Storebridger platform shall strive to resolve any disputes amicably. In the event of a dispute, controversy, or claim arising from or related to this Agreement, including its interpretation, breach, termination, or validity ("Dispute"), and if mutual agreement/negotiation fails within 1 (one) month, the matter shall be referred to Mediation at the Lagos State Multi-Door Court House (“LMDC”).
8.2.
Arbitration
If certain issues remain unresolved after mediation, the dispute resolution process shall proceed to arbitration by a single arbitrator at the Lagos Multi-Door Courthouse (“LMDC”) in accordance with the Arbitration and Mediation Act, 2023. The arbitrator shall be appointed by the involved parties.
8.3.
Appointment of Arbitrator
In cases where the Parties cannot agree on the choice of an arbitrator, the selection shall be referred to the LMDC. The arbitrator's findings and subsequent award shall be binding on the parties. Each Party shall be responsible for its respective costs related to the Arbitration. The venue for arbitration shall be Lagos, Nigeria.
8.4.
Exemption
Notwithstanding the dispute resolution provisions outlined in sections 8.1 and 8.2, any resolution, appeal, or complaint processed by Storebridger pursuant to the order contract shall be exempt from further mediation or arbitration by the LMDC, Court, or any other dispute resolution body. Parties acknowledge that Storebridger's resolution in such matters is final, conclusive, and not subject to external dispute resolution processes.
9. Anti-Money Laundering (AML) and Counter Financing of Terrorism (CFT) Compliance
9.1.
Seller and Buyer Obligations
All sellers and buyers engaging in transactions on the Storebridger platform are obligated to comply with Anti-Money Laundering (AML) and Counter Financing of Terrorism (CFT) regulations and requirements applicable in their respective jurisdictions.
9.2.
Verification of Identity
Sellers and buyers shall undertake to provide accurate and complete information for the verification of their identity in accordance with AML and CFT regulations. Storebridger reserves the right to request additional documentation or information for verification purposes.
9.3.
Reporting Suspicious Activities
Sellers and buyers are required to promptly report any suspicious activities, transactions, or behaviors that may be indicative of money laundering or terrorism financing. Such reports should be made to the appropriate authorities and, where applicable, to Storebridger.
9.4.
Cooperation with Authorities
In the event of investigations related to AML and CFT compliance, sellers and buyers agree to cooperate fully with relevant authorities. This includes providing necessary information and documentation as required by law.
9.5.
Storebridger's Right to Suspend
Storebridger reserves the right to suspend or terminate the accounts of sellers and buyers who fail to comply with AML and CFT obligations or who engage in activities that raise suspicion of money laundering or terrorism financing.
9.6.
Education and Awareness
Storebridger may provide educational resources and guidelines to sellers and buyers to enhance awareness of AML and CFT compliance. Sellers and buyers are encouraged to stay informed about relevant regulations and best practices.
9.7.
Changes in Regulations
Sellers and buyers acknowledge their responsibility to stay informed about changes in AML and CFT regulations that may impact their transactions on the Storebridger platform. Continued use of the platform implies acceptance of any updates to AML and CFT compliance requirements.
10. Termination
10.1. Storebridger reserves the right to terminate or suspend your access to its platform and services at its discretion, without notice, for any violation of these Terms.
11. Disclaimer
11.1. Storebridger provides its services "as is" and makes no warranties or representations regarding the accuracy or completeness of the content or the suitability of its services for any purpose.
12. Limitation of Liability
12.1. Storebridger shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
13. Governing Law
13.1. These Terms are governed by and construed in accordance with the laws of Nigeria
